Here are some of the documents you’ll be expected to provide during diligence, all of which can be organized automatically in the data room:

  • Balance sheet and historical financial information
  • Any securities that have already been issued (equity)
  • Any debt holdings or business loans
  • Any material business contracts (including contracts such as partnership agreements and property leases as well as client contracts/services agreements if applicable)
  • Board and shareholder actions and meeting minutes
  • Certificate of Incorporation and Bylaws
  • HR details (including employment contracts, offer letters, benefits, salaries, directors and officers, and agreements related to Intellectual Property assignment/contribution and confidentiality)
  • Documentation related to all shareholders’ or equity grant agreements (including stock incentive plansvesting schedules and purchase agreements)
  • Documentation related to debt or other types of financing
  • Business plans, budgets or projections
  • Documentation related to litigation and disputes concerning your company
  • Documentation related to the company’s IP, such as patents, patent applications or trademark and copyright filings, if applicable
  • Company policies and procedures (e.g., Privacy Policy or Website Terms of Use)

Our data room updates automatically based on workflows you run, so it can serve as a single, reliable source of truth.  You can easily see which documents still need to be uploaded following onboarding or use of workflows and make adjustments to documents uploaded outside of workflows. While other solutions simply provide an unstructured file sharing system, our data room comes pre-populated with folders that tie to our workflows, and which are organized in a way that investors typically expect to see information organized for their review.

All documents uploaded to and/or generated through our workflows are automatically collected and organized in your secure data room. For example, if you create five option grants for team members, the grants themselves and the board approval document for those grants will be stored in the most appropriate folders 

Yes, you can customize permissions per folder and even per document. Learn more about sharing information in your Data Room with existing investors, potential investors, and with people on your team.  Some customizations that clients choose to utilize include enabling Diligence Mode for watermarking and reporting, expiration dates for access, and different access levels for different individuals on a team (e.g. associates within a venture capital firm).  

Yes, your data room updates automatically at the conclusion of each workflow. Every time you create or upload a document through one of our processes (e.g. creating a SAFE for a new investor or uploading an Offer Letter and Confidentiality Agreement for an employee), the relevant documents are automatically collected and organized in the most appropriate location in your data room. 

You can easily sort documents in your data room to indicate which items were deferred during a workflow, or during onboarding. This makes it easy to locate those placeholders and upload the relevant documents to fill in open items in your data room.
